Terms of Service

1. Acceptance of Terms

By accessing or using AIForge Studio (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Service Description

AIForge Studio is an AI-powered digital asset generation platform. Users select a product category and tier, provide optional custom requirements, make payment, and receive custom AI-generated digital content via email. Products include copy templates, social media scripts, and prompt collections. All content is generated on-demand using Anthropic’s Claude AI model.

3. User Obligations

By using the Service, you agree to the following obligations:

  • Accurate Information: You must provide a valid email address and accurate order information. We are not responsible for non-delivery resulting from incorrect email addresses or order lookup credentials.
  • Lawful Use: You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to generate content that is illegal, fraudulent, defamatory, harassing, or otherwise harmful.
  • Account Security: Order lookup access is tied to your email address and order number. You are responsible for maintaining the confidentiality of your order number. We are not liable for unauthorized access to your order where you have shared your order credentials.
  • No Automated Access: You may not use bots, scrapers, or automated systems to access the Service without our express written permission. Rate limiting is enforced to protect the stability of our platform.

4. Payment Terms

All prices are listed in US Dollars (USD). Payment must be made in full at the time of order through our third-party payment processor, Stripe. By completing a purchase, you represent and warrant that you are authorized to use the payment method provided. We reserve the right to refuse or cancel orders at our sole discretion, including orders suspected of fraud or violation of these Terms.

You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction in connection with your purchase. Prices are subject to change without prior notice; however, the price at the time of your order will be honored.

5. Intellectual Property

5.1 Platform Content

The AIForge Studio website, including its design, branding, user interface, and original content (excluding AI-generated outputs), is the exclusive property of AIForge Studio and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any platform content without our express written permission.

5.2 AI-Generated Content

Upon successful payment and delivery, you are granted a worldwide, non-exclusive, perpetual, royalty-free license to use, modify, reproduce, and distribute the AI-generated digital content you purchased for any purpose, including commercial use. This license is non-transferable in the sense that reselling the content as-is (without modification) as a digital asset product is not permitted. You may incorporate the generated content into your own work, publications, marketing materials, and client deliverables.

Ownership of the AI model itself and its outputs (beyond the specific content you purchase) remains with Anthropic under their applicable terms. AIForge Studio makes no claim to ownership of the specific generated content delivered to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIFORGE STUDIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to AIForge Studio for the specific order giving rise to the claim, or one hundred US Dollars (USD $100.00), whichever is greater. This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any generated content will meet your specific requirements or expectations. AI-generated content may contain errors, inaccuracies, or unintended outputs.

8. Indemnification

You agree to indemnify, defend, and hold harmless AIForge Studio and its affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (d) any claim that content you generated using the Service caused damage to a third party.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, to be held in Wilmington, Delaware. Each party shall bear its own costs of arbitration. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

11. Force Majeure

AIForge Studio shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Miscellaneous

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AIForge Studio regarding your use of the Service.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
